Terms & Conditions

Scope of Service

  • The services encompass the implementation and provision of access to the agreed-upon application modules, alongside post-launch maintenance.
  • Maintenance services include routine updates, bug fixes, security patching, performance enhancements, and daily technical support.
  • Support and error resolution are strictly limited to the originally agreed-upon feature list.

Additional Features & Change Requests

  • Any requests for new features, module customizations outside the initial scope, logic workflow modifications, or third-party integrations are considered separate projects.
  • These out-of-scope requests require a new contract agreement and will incur additional development charges based on the complexity of the feature.

License Grant & Restrictions

  • The Service Provider grants a non-exclusive, non-transferable license to use the application solely for internal business operations.
  • The Licensee is strictly prohibited from sublicensing, selling, renting, lending, distributing, or otherwise transferring the application to any third party without prior written consent from the Service Provider.

Intellectual Property & Ownership

  • The Service Provider retains all rights, titles, and interests in the application, including all intellectual property rights.
  • This agreement does not transfer any ownership rights to the Licensee.

Payment Terms & Termination

  • The Licensee is obligated to pay all applicable usage and maintenance fees as specified in the issued invoice.
  • All payments are due within 14 days from the invoice issuance date.
  • Failure to complete payments may result in the suspension or termination of application access.
  • Either party reserves the right to terminate the agreement via written notice if a material breach of terms occurs.

Confidentiality

  • Both parties agree to maintain the strict confidentiality of any proprietary or sensitive information disclosed during the service period.
  • Confidential information may not be disclosed to third parties without prior written approval.

Dispute Resolution

  • Any disputes arising from this agreement must first be addressed amicably through direct negotiation.
  • If a resolution cannot be reached, both parties agree to pursue alternative dispute resolution methods, such as mediation or arbitration, prior to initiating legal litigation.
